Terms of Service

1. Acceptance of Terms

By accessing or using BudgetLabs (the "Service"), operated by Hollow Holdings, LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Service.

These Terms form a binding contract between you and Hollow Holdings, LLC. Please read them carefully — they include important provisions about disclaimers of warranties, limitation of liability, dispute resolution, and a class-action waiver.

2. Eligibility

You must be at least 13 years old to use BudgetLabs. If you are under 18 (or the age of majority in your jurisdiction), you may use the Service only with the involvement of a parent or guardian who agrees to be bound by these Terms on your behalf.

Family Sharing invitees: if you invite another person to share your budget through Family Sharing, that person must also be at least 13 years old and meet the eligibility requirements above. By sending an invite, you represent that the invitee is a member of your household with whom you actually share finances. We do not knowingly process personal information from anyone under 13; if you become aware that a Family Sharing invitee is under 13, remove them immediately and contact us.

By using the Service, you represent and warrant that you meet these eligibility requirements and that your use of the Service does not violate any applicable law or regulation.

3. Account Registration and Security

To use most features of the Service, you must create an account. You agree to provide accurate and complete information when registering, and to keep that information up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your credentials.

We strongly recommend enabling two-factor authentication (TOTP) under Settings → Security.

4. User Content and Data

You retain ownership of all data and content you enter into BudgetLabs ("User Content"). You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to store, process, transmit, display, and use your User Content solely to provide, maintain, secure, and improve the Service for you.

You represent and warrant that you have all rights necessary to submit your User Content and that doing so does not violate any law or any third party’s rights.

You are solely responsible for your User Content. We recommend regularly exporting and backing up your data using the export features provided in Settings.

Important: Do not enter highly sensitive information (e.g., bank login credentials, credit card numbers, government identification numbers, social security numbers) into BudgetLabs. The Service is not designed or intended for storing such data.

5. Acceptable Use

You agree not to, and not to permit any third party to:

  • use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • access the Service to build a competing product or service, or copy any features or functions of the Service;
  • reverse engineer, decompile, or disassemble any part of the Service, except to the extent that applicable law expressly permits this notwithstanding such restriction;
  • scrape, harvest, or extract data from the Service through automated means, except via the documented MCP server or other interfaces we expressly provide;
  • use the Service to transmit malicious code, spam, or unsolicited communications;
  • interfere with, disrupt, or attempt to gain unauthorized access to the Service, our infrastructure, or other users’ accounts;
  • misrepresent your identity, impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • circumvent or attempt to circumvent any usage limits, rate limits, or other technical restrictions of the Service.

Family Sharing: Family Sharing is for sharing access with people you actually share finances with — spouses, partners, parents, children, household members. Reselling, trading, or sharing seats with people who are not part of your financial household is prohibited. We reserve the right to revoke seats found to be in violation.

We may investigate and take appropriate action — including suspending or terminating your account — if we reasonably believe you have violated this section.

6. AI-Assisted Features

The Service includes optional AI-assisted features (collectively, "Hank" — the in-app chat assistant, AI-powered transaction import, AI-powered receipt scanning, and an MCP server for connecting external AI agents). When you use these features, certain inputs are processed by third-party AI providers as described in our Privacy Policy.

AI outputs may be inaccurate, incomplete, or unsuitable for your situation. You are solely responsible for reviewing and verifying any AI-generated content before relying on it. You should not rely on AI outputs for financial, investment, tax, legal, or other professional decisions.

We reserve the right to limit, suspend, or modify AI-assisted features at any time, including imposing usage quotas to manage cost and abuse.

7. Subscriptions, Billing, and Cancellation

Some features of BudgetLabs are offered on a paid subscription basis ("Pro"). By subscribing, you agree to the pricing, payment, and renewal terms presented at the time of purchase.

Web subscriptions are processed by Stripe. Your payment-card details are handled directly by Stripe under their privacy policy and terms; we do not store full card numbers.

Mobile subscriptions purchased through the Apple App Store or Google Play are processed by Apple or Google directly under their respective terms, and managed through RevenueCat. Cancellation, refunds, and billing disputes for mobile subscriptions are governed by the rules of the App Store or Google Play and must be handled through your Apple ID or Google account settings.

Auto-renewal: Subscriptions automatically renew at the end of each billing period at the then-current rate unless cancelled before the renewal date. You can cancel at any time from your subscription management settings; your access to paid features will continue through the end of the current billing period.

Refunds: Except where required by law, payments are non-refundable. For App Store / Google Play purchases, refund requests are handled by Apple or Google.

Price changes: We may change subscription prices from time to time. We will give at least 30 days’ notice of any price increase to subscribers, and the new price will take effect at your next renewal. Continuing to use the Service after a price change takes effect constitutes acceptance of the new price.

Family Sharing cancellation: A single Pro subscription covers up to 5 members of a shared budget. When the budget owner cancels their subscription, all members continue to have Pro features for a grace period of seven (7) days, after which all members revert to free-tier limits at the same time. Cancellation does not delete the shared budget; only Pro-tier features become unavailable.

8. App Store and Google Play Terms

If you obtained the BudgetLabs mobile app through the Apple App Store or Google Play, you also agree to those stores’ terms of service. In the event of any conflict between those terms and these Terms with respect to the mobile app, those store terms control to the extent of the conflict.

You acknowledge that Apple and Google are not parties to these Terms and have no obligation to provide support or maintenance for the Service. They are, however, third-party beneficiaries of these Terms with respect to your use of the mobile app.

9. Financial Advice Disclaimer

BudgetLabs is a personal budgeting tool and does not provide financial, investment, tax, or legal advice. All information and features are for organizational and informational purposes only. You should consult qualified professionals before making financial decisions.

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, Hollow Holdings, LLC and its affiliates, officers, directors, employees, agents, suppliers, and licensors disclaim all warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any data you store will be preserved or accurate.

11. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Hollow Holdings, LLC or its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

In no event will the total liability of Hollow Holdings, LLC and its affiliates to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). The foregoing limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if a remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, the limitations above apply only to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Hollow Holdings, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

13. Termination

You may terminate your account at any time from Settings → Account, or by contacting us. We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms or for any other reason permitted by law.

Upon termination, your right to use the Service will end immediately. We may delete your User Content after a reasonable retention period as described in our Privacy Policy. You should export any data you wish to retain before terminating.

Sections that by their nature should survive termination — including, without limitation, provisions on User Content licenses, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

14. Governing Law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Subject to the dispute resolution provisions below, you and we consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Michigan for any matter not subject to arbitration.

15. Dispute Resolution; Arbitration; Class-Action Waiver

Informal resolution first. Before filing any formal claim, you agree to try to resolve the dispute informally by contacting us at contact@budgetlabs.io. We will try to resolve the dispute by contacting you within sixty (60) days. If we cannot resolve the dispute informally, either party may proceed as set out below.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved through final and binding individual arbitration administered by a recognized arbitration provider (such as the American Arbitration Association under its Consumer Arbitration Rules), rather than in court, except that you may assert claims in small-claims court if your claims qualify.

Class-action waiver. You and we agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Unless both you and we agree otherwise in writing, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

30-day opt-out. You may opt out of this arbitration provision and the class-action waiver by sending written notice to contact@budgetlabs.io within 30 days of first accepting these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provisions of these Terms.

If any portion of this section is found unenforceable, the remainder of the section will continue in effect, except that if the class-action waiver is found unenforceable, this entire arbitration section will be void.

16. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms here and update the "Last updated" date. For material changes, we will give at least 30 days’ notice — for example, by email or in-app notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before they take effect.

17. General

Entire agreement. These Terms, together with our Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.

Assignment. You may not assign or transfer these Terms or any of your rights under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Notices. We may give you notices by email, by in-app notice, or by posting them on the Service. You may give us notice by emailing contact@budgetlabs.io.
